OMRON's Terms of Use for External Sharing
This OMRON Microsoft 365 Tenant and related external sharing sites SharePoint and Microsoft Teams ("Tenant") is owned, operated and maintained by OMRON Corporation, OMRON EUROPE B.V., and its affiliated companies ("OMRON"). Please read these Terms of Use carefully before accessing and making use of Tenant.
YOU REPRESENT AND WARRANT THAT IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF YOUR EMPLOYER, A CORPORATION, GOVERNMENTAL ORGANIZATION OR OTHER LEGAL ENTITY (THE “COMPANY”), WHETHER SERVING AS AN EMPLOYEE, CONTRACTOR, OR AGENT, YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THAT ENTITY AND BIND IT TO THIS AGREEMENT.
These Terms of Use do not apply to individual members of OMRON, including its directors, employees and persons working for OMRON.
Please note that OMRON may, at its discretion, change these Terms of Use at any time. Your continued use of the Tenant means that you accept and agree to the Terms of Use, as they are binding on you. You are therefore requested to visit this page periodically to check the current Terms of Use.

1. Terms and Conditions for Use
Upon acceptance of these Terms of Use OMRON grants the right, which may not be delegated, to you to use the designated SharePoint Sites and/or Microsoft Teams (“Tenant” and/or “External Sharing Sites”) subject to the following terms and conditions:
An invitation to use an External Sharing Site an invitation has been sent to you by OMRON.
Your uploaded information and/or OMRON’s uploaded information at the Tenant shall be governed by confidentiality arrangements set out in a Non-Disclosure Agreement, and or in any other Business Agreements (hereinafter referred to as “Agreement”) between the organization or corporation to which you belong (hereinafter referred to as “Company”) and OMRON. External Sharing Sites shall only be allowed after the Company has enter into such Agreement as provided by OMRON.
Your access to the shared site will be provided to you based upon information you have provided to OMRON to setup the User ID.
3.1 Information required to setup the User ID:
3.1.1 your email account provided to you by the Company and known to OMRON to be used as you log on User ID
3.1.2 your mobile telephone phone number registered during initial logon used for MFA (Multi-Factor Authentication)
3.2 Log On Procedure
3.2.1 User ID will be the email address identified in 3.1.1
3.2.2 Password – you will be asked to provide a password of your choice during the initial log on
3.2.3 Your will receive an MFA access code on the mobile telephone you have designated in 3.1.2 which you will need to enter to complete the access authentication process.
OMRON processes information that can be used directly or indirectly to identify a person (“Personal Data”) obtained from you and/or the Company for purposes described in OMRON’s Privacy Policy, including the performance of any agreement with you and providing external access to the Tenant.
4.1 To the extent OMRON processes Personal Data for the abovementioned purposes OMRON acts as a controller within the meaning of the applicable legislation (“Controller”) regarding Personal Data protection (“Applicable Law”). OMRON will process Personal Data in accordance with the Applicable Law and may share Personal Data with other parties engaged by OMRON within the limitations described in the Privacy Policy.
4.2 You have an independent obligation to comply with the Applicable Law, warrant the legitimacy and right to provide Personal Data to OMRON and comply with all requirements according to the Applicable Law.
4.3 OMRON will take reasonable steps to ensure that Personal Data are properly secured using appropriate technical and organizational measures, so that they are protected against unauthorised or unlawful use, alteration, unauthorised access or disclosure, accidental or wrongful destruction, and loss.
4.4 OMRON in its capacity of a Controller provides sufficient information according to the Applicable Law on the Personal Data processing in its Privacy Policy.
4.5 Depending on the particular circumstances, you agree to execute any documents that may be required in order OMRON and/or the Company to comply with their obligations according to the Applicable Law.
In accordance with OMRON’s security regulations, OMRON obliges you to use a strong password for your email account address, and to install anti-virus software on the devices you use to access the Tenant.
Depending on your access rights, you may be allowed to read, add, copy and update information stored on the Tenant.
You are not allowed to delete information stored on the Tenant.
Access permission will be automatically deleted 90 (ninety) days after the last log on. However, OMRON may allow you to access the Tenant again after OMRON grants you a new access permission after such automatic access deletion. Access to the Tenant is always subject to these terms and conditions of use.
You must immediately notify OMRON in writing of any relevant change which should impact your Tenant access permission. You must inform Omron if you leave the Company or change your position within the Company for any reason, your responsibility regarding the Contract changes, lost mobile phone, or change of phone number. It is a condition of your use of the External Sharing Sites that all the information you entrust is correct, current, and complete. If you choose, or are entrusted with, a username, or any other information as part of the Tenant’s security procedures, you must treat such information as confidential and not disclose it. You agree to notify OMRON immediately of any unauthorized access to your username or password or other breach of security.OMRON is not liable if for any reason if all or part of the Tenant is unavailable. OMRON reserves the right to withdraw or amend access and use of Tenant and any services or materials OMRON provides on the Tenant. Access and use of the Tenant can, at all times, be revoked by OMRON for any reason at its full discretion, without the necessity of providing notice thereof. Additionally, OMRON has the right to disable any username, password or other identifier, at any time, especially if, in our opinion, you have violated any provision of these Terms of Use.
2. Prohibited Usage
You may view the material from the Tenant provided that you respect all copyright, trademark and proprietary rights in those materials. You may not distribute, retransmit, republish, reuse, retransmit or otherwise use the content of the Tenant without the prior written consent of OMRON.
You are prohibited from using this Tenant for any of the following activities:
Any activity that does or has the potential to infringe upon the properties and/or legal rights (including privacy rights) of others.
Any activity that defames, disgraces, slanders, libels and/or threatens others and/or OMRON.
Any activity that does or has the potential to disturb public order.
Uploading programs and/or files that contain viruses and/or corrupted files that may damage the operation of other computers.
Any activity that violates laws and/or legally binding regulations.
Making false statements and/or notifications, including registration of e-mail addresses belonging to other parties.
Use of the Tenant for any purpose not expressly authorized by Omron.
In case of any use in breach of these Terms of Use, you and the Company shall hold OMRON fully harmless and indemnified in connection with any third-party claims and/or damages.
3. Disclaimer
Regarding the information available via this Tenant, OMRON makes no representation and warranty with respect to:
Accuracy, reliability, completeness and usefulness.
Fitness for any particular purpose or functionality.
Availability of information on a timely basis.
Safety of contents and freedom from computer viruses.
Information and contents of any linked non-OMRON site that you access
The Use of the Tenant and its content is at your own risk. The Tenant and its content is provided on an “as it” basis, without warranties of any kind, either expressed or implied. Moreover, in no event will OMRON be liable for any damage or cause of any damage based on or directly or indirectly resulting from your or the Company’s use of the Tenant and/or change and/or removal of any information on this Tenant and/or suspension or discontinuation of this Tenant.
4. Governing Laws and Jurisdiction
These Terms of Use are governed by and determined in accordance with the laws of the Netherlands, unless otherwise stated in the Agreement between OMRON and the Company. All controversies and disputes arising from or related to these Terms of Use and use of the Tenant shall be submitted to the competent court of Amsterdam, unless otherwise stated in the Agreement between OMRON and the Company.
